Afro Market – Christmas Edition Sponsorship Terms and Conditions

These Terms and Conditions (“Terms”) govern the agreement between Afro Market – Christmas Edition (“Organizer,” “we,” “us,” “our”) and any individual or organization (“Sponsor,” “you,” “your”) who wishes to sponsor our event. By submitting payment, a signed sponsorship agreement, or confirming participation in writing, or via our website https://www.djelmusic.ca you agree to these Terms.

1. Sponsorship Packages

1. Sponsorship opportunities, benefits, and rates are detailed in our official sponsorship package or proposal.

2. Benefits may include (but are not limited to) logo placement, mentions by the MC, digital and print promotions, exhibitor opportunities, and other agreed deliverables.

3. The Organizer reserves the right to adjust promotional materials, schedules, or benefits due to unforeseen circumstances, ensuring comparable exposure where possible.

2. Payment Terms

1. Sponsorship fees are payable in full upon confirmation unless otherwise agreed in writing.

2. Payment is accepted via e-transfer, PayPal, bank transfer, credit card, cash, in kind and our website.

3. Sponsorship benefits will not be activated until payment is received.

4. All fees are non-refundable except as outlined in Section 5 (Cancellations).

3. Sponsor Responsibilities

1. Provide high-resolution logos, brand guidelines, and any agreed marketing materials by the deadlines provided by the Organizer.

2. Ensure that all materials provided are owned by or properly licensed to you, and do not infringe upon third-party rights.

3. Abide by event rules and guidelines, including setup/teardown times, prohibited items, and conduct expectations.

4. Organizer Responsibilities

1. Deliver the agreed sponsorship benefits in line with the sponsorship package and timelines.

2. Promote Sponsor according to the agreed tier/level of sponsorship.

3. Provide the Sponsor with reasonable event updates and communication before the event date.

5. Cancellations and Refunds

1. If the Sponsor cancels participation more than 60 days before the event, the Organizer will refund 50% of the sponsorship fee.

2. If the Sponsor cancels 59 days or less before the event, no refund will be issued.

3. If the Organizer cancels the event for reasons other than Force Majeure (see Section 9), the Sponsor will receive a full refund.

4. If the event is postponed, sponsorship benefits will transfer to the new date or the Sponsor may request a refund.

6. Use of Sponsor Name and Logo

1. The Sponsor grants the Organizer a non-exclusive, royalty-free license to use Sponsor’s name, logo, and trademarks for the purposes of event promotion.

2. The Sponsor may not claim partnership or endorsement rights beyond the agreed sponsorship benefits.

7. Indemnification

The Sponsor agrees to indemnify and hold harmless the Organizer, its directors, staff, contractors, and volunteers from any claims, damages, or liabilities arising from:

• Sponsor’s participation in the event,

• Materials or content provided by the Sponsor,

• Any breach of these Terms.

8. Limitation of Liability

The Organizer will not be held liable for:

• Any indirect, incidental, or consequential damages,

• Losses arising from changes to the event program,

• Errors or omissions in promotional materials,

• Any issues caused by third-party service providers.

Total liability to the Sponsor shall not exceed the amount of the sponsorship fee paid.

9. Force Majeure

Neither party will be liable for failure to perform obligations due to events beyond reasonable control, including but not limited to: acts of God, natural disasters, strikes, epidemics, governmental restrictions, or venue closures. If such events occur, sponsorship benefits will be rescheduled or refunded as agreed.

10. Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of Alberta, Canada.

​

​

11. Entire Agreement

These Terms, along with the signed sponsorship confirmation, constitute the entire agreement between the Sponsor and the Organizer, superseding all prior communications.

By submitting payment or written confirmation, you acknowledge that you have read, understood, and agree to these Terms and Conditions.
